Professional Businesses

Certain businesses, such as law firms, medical and dental practices, accounting firms, and a range of other professional groups must form as a “Professional Corporation” (“PC”) or “Professional Limited Liability Company” (“PLLC”). There are certain rules that must be followed in this process and these entities are governed by different laws than a nonprofessional entity. We assist with the choice of entity (PC versus PLLC and S Corporation versus C Corporation, for example), as well as compensation structures, noncompete and nonsolicitation agreements, buy-in and buy-out arrangements, retirement arrangements and procedures, and governance issues.
